Victor Miranda, LLM, MBA

My law practice is governed by all applicable statutes, regulations, by-laws, rules of practice and procedure, including the Rules of Professional Conduct of the Law Society of Ontario, as well as its policies and guidelines. This includes, but is not limited to, strict adherence to solicitor-client privilege, the prohibition against paying or accepting referral fees to or from persons who are not licensees of the Law Society of Ontario, and maintaining effective control and oversight of my legal practice at all times.

I am an internationally trained lawyer and entrepreneur with a wealth of experience gained in the private and public sectors, and academia. In a career that spans over 25 years, I worked for law firms (both in Canada and Europe), the European Commission, the Faculty of Law and Criminology of the University of Brussels, global consulting corporations, the Ontario government, and Ontario Crown agencies. In Canada, I am called to the Bars of Ontario and (membership currently inactive) Saskatchewan, and my practice focuses on business and not-for-profit (including charities) law.

I am known for excelling at using my sharp analytical and problem-solving skills to assist my clients with strategizing their business decisions and achieving their goals – this is to say, I am known for mastering the art of taking a close look at the trees without losing sight of the forest. I am a practical person, who takes pleasure in simplifying complex matters, and believes in the power of communicating effectively and using plain language to help his clients grasp the intricacies of their legal challenges.

I provide trusted legal guidance in corporate, commercial, charities, not-for-profits in general, corporate governance, corporate social responsibility, regulatory compliance, risk management, negotiations, and succession planning.

My services include: commercial contracts, shareholders’ agreements, share purchase agreements, non-disclosure agreements, term sheets, memoranda of understanding, joint venture agreements, waivers of liability, incorporation of corporations, corporations’ by-laws, amalgamation of corporations, reorganization of corporations, redemption and retraction of shares, dissolution of corporations, and estate freezes. I work with established businesses, start-ups, entrepreneurs, sole proprietors, partnerships, professional corporations, and not-for-profits (including charities).

My difference: sound knowledge, level-headedness, trustworthy advice, plain language, commitment to clients’ objectives, cost-effective legal solutions, predictable and manageable fees, flat fee arrangements, unsurpassed customer experience, technology-savviness.
